1. Embroix's Intellectual Property
All content on this website, including but not limited to the Embroix name, logo, designs, images, text, graphics, and software, is the exclusive intellectual property of Embroix or its licensors and is protected by copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, or distribution of any of our intellectual property is strictly prohibited.
2. User-Provided Content & Your Responsibility
When you submit designs, logos, text, or any other content ("User Content") to Embroix for customization on your apparel, you explicitly agree to the following:
- You represent and warrant that you own all intellectual property rights in the User Content, or that you have obtained all necessary licenses, permissions, and consents from the rightful intellectual property owner(s) to use, reproduce, and authorize Embroix to customize products with your User Content.
- You grant Embroix a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content solely for the purpose of fulfilling your order and providing our services.
- You agree that Embroix is acting only as a passive conduit for your User Content and has no obligation to screen or monitor such content.
- You acknowledge and agree that you are solely responsible for any intellectual property infringement claims arising from the User Content you provide.
3. Indemnification
You agree to indemnify, defend, and hold harmless Embroix, its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your breach of this Intellectual Property Policy.
- Any claim that your User Content infringes, misappropriates, or otherwise violates the intellectual property rights or other rights of any third party.
4. Reporting Intellectual Property Infringement
If you believe that your intellectual property rights have been infringed upon by content on our website or through products customized by Embroix, please send a written notification to our designated agent at the contact information below, providing the following information:
- A physical or electronic signature of the intellectual property owner or a person authorized to act on their behalf.
- Identification of the copyrighted work or trademark claimed to have been infringed.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.
- Your contact information (address, telephone number, and email address).
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the intellectual property owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the intellectual property owner.
5. No Obligation to Monitor
Embroix does not routinely pre-screen User Content. However, we reserve the right to remove or refuse any User Content for any reason without prior notice.
